1. Introduction

These Terms and Conditions ("Terms") govern the use of the MAMYCODE website and the provision of software development and IT services. By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services Provided

MAMYCODE provides custom software development, web application development, API integration, backend systems development, and IT support and maintenance services. All services are provided on a contract basis with defined scope, deliverables, and timelines established prior to project commencement.

3. Service Agreements

All projects and services are conducted under formal written agreements. These agreements define the specific scope of work, project milestones, delivery schedules, and payment terms. Services will not commence until a signed agreement is in place between MAMYCODE and the client.

4. Project Scope

The scope of each project is defined in the service agreement. Any modifications or additions to the agreed scope may require a change order with adjusted timelines and costs. Both parties must agree in writing to any scope changes before implementation.

5. Payment Terms

Payment terms are established in each service agreement prior to project initiation. Payment schedules may include deposits, milestone-based payments, or other arrangements as agreed upon. Late payments may result in project delays or suspension of services as outlined in the service agreement.

6. Intellectual Property

Ownership of intellectual property created during the project is addressed in the service agreement. Generally, upon full payment completion, all custom work product and intellectual property rights are transferred to the client, unless otherwise specified in the agreement. Pre-existing intellectual property, third-party components, and reusable code libraries remain the property of their respective owners.

7. Confidentiality

MAMYCODE agrees to maintain the confidentiality of all proprietary information shared by clients during the course of engagement. Clients agree to maintain the confidentiality of our proprietary methods, processes, and technical approaches. Confidentiality obligations survive the termination of any service agreement.

8. Limitation of Liability

To the maximum extent permitted by law, MAMYCODE shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services. Our total liability shall not exceed the amount paid by the client for the specific services giving rise to the claim.

9. Warranty Disclaimer

Services are provided "as is" without warranties of any kind, except as expressly stated in the service agreement. MAMYCODE disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.

10. Governing Law

These Terms and any service agreements are governed by and construed in accordance with the laws of the United States. Any legal proceedings shall be conducted in courts of competent jurisdiction within the United States.

11. Dispute Resolution

In the event of a dispute arising from these Terms or any service agreement, the parties agree to first attempt resolution through good faith negotiation. If negotiation fails, disputes may be submitted to mediation or binding arbitration as specified in the service agreement before pursuing litigation.

12. Modifications

MAMYCODE reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after such modifications constitutes acceptance of the updated Terms.
